Board of Directors and Management Team

Board Chairman
Robert Dolan

Partner with Knightsbridge Human Capital Management Inc., a management consulting firm. Mr. Dolan is a former Senior Vice-President, Corporate Services, Canadian National, where he was responsible for Human Resources and Information Technology. He previously held senior executive positions at John Labatt Ltd. and the Bank of Montreal. Mr. Dolan is a Director of Global Container Terminals, a subsidiary of the Ontario Teacher's Pension Plan with investments in both Canada and the United States.

Owen Shewfelt, CA

Chartered Accountant with a B.Comm. from McMaster University. Mr. Shewfelt was in public practice with Clarkson Gordon in Hamilton and is a former Vice-President, Finance & Administration for Westinghouse Canada Inc. in Hamilton and for the JWI Group of Companies in Ottawa. Mr. Shewfelt has served on the Board of Directors for several companies and charitable organizations.

Robert Cary

Consultant providing services in electricity markets and on related commercial issues. Mr. Cary contributed to the work of the Ontario Market Design Committee, and has served for the last five years as a generator representative on the IMO Technical Panel. Mr. Cary participated in the New Brunswick Market Design Committee, and has provided services in connection with market design and documentation in New Brunswick, Nova Scotia and Alberta. Mr. Cary is a Director of APPrO (the Association of Power Producers of Ontario), as well as St. Catharines Hydro Inc. and its generation and distribution subsidiaries. Mr. Cary is a Professional Engineer, holds an MA Degree from Cambridge and holds and M.B.A. from Cranfield.

Vice-President (Administration) McMaster University since April 2000. Ms. Belaire has an extensive background in finance, information technology and human resources. She holds a B.A. from York University, an M.B.A. from Laurentian University and the designations of Certified General Accountant and Chartered Director. She is currently the Past Chair of the Board for Theatre Aquarius.

Commissioner of Corporate Services for the Region of Niagara. He currently sits on the boards of St. Catharines Hydro Inc., Quartet Services Inc. and the Ontario Clean Water Agency. He served as President of Lennox Canada Inc., Union Gas Ltd., Massey Ferguson Research Ltd. and Columbus McKinnon Ltd. He has also served on the boards of various natural gas utilities, pipeline companies and industry associations. In addition, he has been a Board Member on the boards of the Stratford Festival of Canada, Ontario Great Lakes Renewal Foundation, the Canadian Urban Institute, various United Ways across Ontario and served for over 20 years on the Board of the University of Waterloo, including a term as Chair.

Former Chairman of the Region of Hamilton-Wentworth. Currently, President of Cooke Capital Corporation, a management consulting and real estate holding company, and a director of Northgate Properties of Hamilton. He also serves as a director with the Canadian Urban Institute and is a freelance columnist with the Hamilton Spectator.

Ed Minich

Former President and CEO of Otis Canada Inc. and past-Chair of McMaster University. He serves on the boards of the Oakville Hospital Foundation and Tradeport International Corporation, where he is the Audit Committee Chair. He graduated with a B.Sc. and M.B.A. from McMaster University and, in 2004, was honoured with a Doctor of Laws degree from McMaster. In 2005, Mr. Minich obtained his Chartered Director (C. Dr.) designation.

Margaret T. Nelligan

Practices in the areas of corporate and securities law, including investments for financial institutions, mergers and acquisitions, and general corporate work. She is a member of the Securities Advisory Council of the Ontario Securities Commission and is an Adjunct Professor at Osgoode Hall Law School. Ms. Nelligan has been selected for the Women in the Lead directory, featuring women whose professional expertise and experience recommend them as candidates for corporate board appointments. She regularly advises the boards of directors of public companies on corporate governance and other matters.

Peter Routliff

International Representative for the International Brotherhood of Electrical Workers (IBEW) and Assistant to the Vice President of the Canadian Office. Mr. Routliff is a graduate of the Directors College Program and was appointed to the Ontario Municipal Employees Retirement System (OMERS) Board in July 2003 and currently sits as Chair of the Investment Committee. Mr. Routliff Chaired the Board of the Electrical Safety Association Board in 2004-05 and is the past-Chair of the Governance Committee.

George R. White

An energy and mining executive with 30 years in the Canadian energy industry. Mr. White was Vice President of Customer Service and Marketing for Nova Scotia Power Inc. (now Emera) in the mid-1990s and has worked in all aspects of the electricity business. He is still active in senior advisory roles with Sherritt International Corporation and was President and CEO of Devco during the federal government's rationalization of the coal industry in eastern Canada during the late 1990s. His background also includes Vice President of Business Development for Luscar Ltd. during the 2003 consolidation of the coal mining industry in western Canada. Mr. White is a Professional Engineer, a Fellow of the Canadian Institute of Mining, Metallurgy and Petroleum and a past governor of the Council for Canadian Unity.

Max Cananzi
President & CEO of Horizon Utilities Corporation. Mr. Cananzi has over 20 years experience in the management of utilities and energy marketing. Max has been a strong advocate for electric utility consolidations in Ontario. His expertise lies in M&As, continuous improvement, maximizing productivity, and delivering innovative energy solutions for customers. He is currently a Director on the boards of the Canadian Electricity Association (CEA), Electricity Distributors Association, and MEARIE an electrical reciprocal insurance exchange. He is a Professional Engineer with a degree in Electrical Engineering from the University of Toronto. He holds an MBA in Finance from York University.

John Basilio

Senior Vice-President and Chief Financial Officer of Horizon Utilities Corporation. Mr. Basilio's previous work experience was primarily in the asset-backed financial services sector supporting business strategy and development with functional responsibilities in treasury, corporate finance, financial reporting, risk management, and corporate taxation. He received his designation as a Chartered Accountant while working with Ernst & Young, has completed the CICA In-Depth Tax Course, and has a Bachelor of Commerce and Finance degree from the University of Toronto. Mr. Basilio is a member of the Institute of Chartered Accountants of Ontario, the Hamilton Chamber of Commerce and Financial Executives International.

Eileen Campbell

Vice President, Customer Services. Ms. Campbell began her career in the electricity industry with Hamilton Hydro. She has wide experience in a number of operational areas that directly affect the company's customers, and has demonstrated a strong personal commitment to customer service. She is currently responsible for metering and customer connections, customer service and billing, and conservation and demand management. She serves on the Conservation and Demand Management Caucus of the Electricity Distributors Association (EDA), and on the Customer Council of the Canadian Electricity Association (CEA). Ms. Campbell has a diploma in Management Studies (McMaster University, Hamilton), and has completed an Ontario Management Development Program at Hamilton's Mohawk College.

Neil Freeman

Vice President, Business Development Mr. Freeman has extensive business and management experience in the electric industry, including working with the Ontario Power Authority on integration of electricity planning into other provincial and municipal planning exercises. His expertise includes business development, mergers and acquisitions, and regulatory issues. Mr. Freeman is a graduate of the University of Waterloo, and received his PhD from the University of Toronto. He is the author of The Politics of Power: Ontario Hydro and its Government, 1906-95 (University of Toronto Press, 1996).

Robert Lister

Vice President, Utility Operations. With over 25 years of expertise in energy management, Mr. Lister has extensive experience in engineering, construction, operations, change management, and strategic business development. Prior to joining Horizon Utilities, Mr. Lister had responsibility for engineering and operations at the senior management level with a number of energy companies including Toronto Hydro, Earth Energy Utility Corporation, and OZZ Energy Solutions. He is a professional engineer with a degree in Engineering and Management and a Masters of Business Administration, both from McMaster University in Hamilton, Ontario.

Marjorie Richards

Vice-President of Corporate Services with Horizon Utilities Corporation and Corporate Secretary to the Board of Directors. Formerly General Manager and Finance Officer of Ancaster Hydro-Electric Commission. Mrs. Richards sits on the Human Resources Council for the Canadian Electricity Association, is Corporate Chair for the Lung Association, sits on the Board of Directors for the Industry Education Council and St. Joseph's Health System and is Chair of the Board of Directors for St. Joseph's Home Health Care.
